This agreement ("Agreement") is entered into between Tecloud Solutions, a software development company registered in Kenya ("Company," "We," "Us"), and the client ("Client," "You") engaging our services. By accepting our services, you agree to comply with these Terms and Conditions.
1.1 The Company agrees to provide software development services as outlined in the project proposal, statement of work (SOW), or service agreement.
1.2 Any modifications to the scope must be agreed upon in writing and may incur additional costs.
2.1 The Client shall provide necessary information, materials, and access to systems required for project execution.
2.2 Delays caused by the Client may affect project timelines and costs.
3.1 Fees for services shall be as per the agreed proposal/invoice.
3.2 A deposit of 50% may be required before work commences.
3.3 Invoices are payable within 7 days of issuance.
3.4 The Company reserves the right to suspend services for unpaid invoices.
4.1 Upon full payment, the Client receives ownership of the custom-developed software, excluding third-party components.
4.2 The Company retains the right to use anonymized project details for portfolio and marketing purposes.
5.1 Both parties agree to keep confidential information secure and not disclose it to third parties without consent.
6.1 The Company ensures that services will be performed with reasonable skill and care.
6.2 The Company is not liable for issues arising from third-party software, Client-provided data, or misuse of the product.
7.1 Either party may terminate the agreement with 7 day written notice.
7.2 Upon termination, the Client shall pay for work completed and expenses incurred.
8.1 Disputes shall first be resolved through negotiation.
8.2 If unresolved, disputes shall be settled under Kenyan law in Kenyan courts.
9.1 The Company’s liability is limited to the fees paid by the Client for the services.
10.1 This Agreement is governed by the laws of Kenya.
11.1 Any changes must be agreed upon in writing.
